Terms and Conditions for
Services
General
1. The following service conditions apply to all our services, including information and advice. They also apply to future business relationships with customers, even if we do not explicitly refer to them when the contract is concluded.
2. Other conditions - especially general service conditions of our customers - do not apply, even if we no longer expressly disagree on presentation. Oral agreements are only valid after written confirmation by us. This also applies to the lifting of the writing requirement.
3. At the latest with the order confirmation of the service the customer accepts our general service business conditions.
contract
1. Our offers are non-binding unless a binding period has been expressly agreed. The contractual relationship is only concluded when we send the customer an order confirmation that corresponds to his order in the essential components. If our service is carried out without prior confirmation, the contract is concluded by the provision of the service, whereby our invoice is simultaneously regarded as an order confirmation with regard to the terms of the contract.
2. Part of each offer by us are the present terms and conditions.
3. The electronic signature according to the respective state of the art and in accordance with the legal provisions for this is permissible for an effective conclusion of the contract. It replaces the written form requirement and is also valid for contract changes.
Price changes
1. The prices are net prices and apply according to the registered office of the AuG Kiel.
2. The listed prices are fixed prices until the contractually agreed date.
3. For services to be performed thereafter, we reserve the right to adjust our prices to any cost changes that have occurred in the meantime, after prior consultation with the customer.
4. Fees for regulatory approvals and acceptances are not included in our prices.
terms of payment
1. The billing is done after the service has been provided.
2. The payment deadline is 14 days after receipt of the invoice by the customer. In the event of deviations from the payment date, this must first be mentioned in writing in the contract.
3. In the event of late payment, we may, after written notification, cease to fulfill our obligations until receipt of the payments. After a reasonable deadline we are in this case entitled to resign.
liability
1. The liability of AuG Kiel for lack of advice, in particular the liability for material, financial and other damages of the client, for defects or damage to the facilities built on the basis of advice or parts of systems are excluded.
2. In particular, liability for loss of production and loss of profit are excluded.
3. Liability assumes proven fault of AuG Kiel in the sense of gross negligence. Gross negligence is to be assumed if the AuG Kiel by an act or omission the recognized rules of the BG regulations in a particularly serious extent violated or if they deliberately disregarded the serious consequences of their actions.
Warranty / material defect liability
1. AuG Kiel is liable for the deficiencies of the direct service by not calculating the faulty performance or re-performing the service.
2. The customer must notify AuG Kiel without delay of any defects in the service.
3. The AuG Kiel can refuse the removal of defects, as long as the client does not fulfill its obligations.
4. No warranty is given for defects of a service measure demanded by the client against the objection of the AuG Kiel.
5. The warranty period ends 12 months after delivery of the service. The determination of this date is given by the handover of the project documents.
6. The client shall indemnify AuG Kiel from any liability for defects in a service measure demanded by third parties.
7. The costs do not include any fees incurred by authorities, authorities and institutes. The commissioning of aforementioned bodies is carried out by the customer.
miscellaneous
1. The customer agrees and informs that all data relating to him from the business relationship is stored in the context of electronic data processing.
